If the cardboard is still good just scrape off all the old foam backing and then reglue it with 3M spray adhesive. If the cardboard or material is shot www.50resto.com carries all of what you will need. My cardboard is shot so I am gonna just get the abs one instead of the cardboard.

I've done many headliners before in many different cars as the son of an auto upholsterer. It really is as simple as stated above; if the cardboard is not warped, just take it out, clean it off and use adhesive to glue any material you like on it. The corners and edges will be the most difficult part, but if you make wedge shaped cuts going inward, and fold carefully, it will come out great.

50resto has the complete headliners if, like everyone said, the cardboard is shot or warped. But if it's not, it's not hard to recover it. Just rip all the old fabric off, then take some course sand paper and just sand off all the old foam. This is the hardest part because it takes a good bit of elbow grease. But if you go at it hard for about 20 minutes, you'll get it all off there. Then just smooth it out and make sure there is nothing left on the board, spray adhesive, and apply your new fabric. voila! new headliner...

I chose to go with black suede, and it came out really great.
