Do i need to replace the speedo when upgrading to 140mph motorsport guage

if you currently have an 85 mph speedo, yes. You will either need to have it calibrated or buy a 140mph speedo unit

are you asking if you'll have to upgrade the speedo gear? as long as you have the correct gear for your rear end gears, no you won't have to change anything. the calibration is all done in the speedometer itself. just put the cluster in and go.
